Whyso Terms of Use

1. Agreement and Scope

These Terms of Use ("Terms") govern access to and use of Whyso, including our websites, apps, APIs, and related services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms.

The Service is operated by WHYSO LTD (company number 16959953), registered office: 20 Stella Road, Paignton, England, TQ3 1BH.

If you use the Service for an organization, you represent that you are authorized to bind that organization, and "you" includes the organization.

2. Eligibility and Account Responsibilities

  • You must be at least 18 years old (or the age of majority in your location).
  • You must provide accurate account information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your credentials and all activity under your account.
  • You must promptly notify us of unauthorized access or suspected security incidents.

3. Subscription, Billing, and Taxes

Paid plans are billed in advance on a recurring basis unless otherwise stated. By subscribing, you authorize us (and our payment processor, Stripe) to charge applicable fees, taxes, and renewals to your selected payment method.

  • Free trial: 14 days. A valid payment method is required at signup. Unless cancelled before trial end, billing starts on day 15.
  • Pricing, plan limits, and features are displayed in-product and may be updated over time.
  • Upgrades may take effect immediately with prorated billing where applicable.
  • Downgrades and cancellations typically take effect at the end of the current billing period unless otherwise required by law.
  • Refunds are handled on a prorated basis where required by law or where we expressly agree to a prorated adjustment.
  • If cancellation is requested shortly after renewal due to timing delays, we apply a customer-focused review and may issue prorated credits or refunds where fair and permitted by law.
  • Applicable taxes (VAT, GST, sales taxes) may be added where legally required.

If you believe a charge is incorrect, contact us promptly at enquiries@whyso.io so we can work with you in good faith to resolve it quickly. We aim to acknowledge billing disputes within 5 business days and target resolution within 30 days where possible.

4. Acceptable Use

You agree not to:

  • Use the Service for unlawful, fraudulent, deceptive, or abusive conduct.
  • Upload or transmit malicious code, spam, or content that infringes third-party rights.
  • Attempt to bypass security controls, rate limits, or access restrictions.
  • Reverse engineer or scrape the Service except where permitted by law.
  • Use outputs in ways that violate law, regulation, or professional obligations.

5. Customer Data and Your Content

You retain ownership of content and data you submit to the Service ("Customer Data"). You grant us a limited, non-exclusive, worldwide license to host, process, transmit, and display Customer Data solely as needed to provide, secure, and improve the Service and to comply with law.

You are responsible for ensuring you have all rights and legal basis required for Customer Data you upload, including personal data in workshop or brand content.

6. AI Features and Outputs

The Service includes AI-assisted features. AI outputs may be inaccurate, incomplete, or unsuitable for your specific context. You are responsible for review, verification, and final decisions before use in business, legal, regulatory, or public communications.

7. Privacy and Data Protection

Our processing of personal data is described in our Privacy Policy. Where required (including under UK GDPR and EU GDPR), we process personal data based on appropriate legal grounds and support applicable individual rights.

8. Intellectual Property

The Service, including software, design, trademarks, and documentation, is owned by us or our licensors and protected by intellectual property laws. Except for rights expressly granted in these Terms, no rights are transferred to you.

9. Suspension and Termination

We may suspend or terminate access where reasonably necessary to protect the Service, users, or legal compliance, including for material breaches of these Terms. You may stop using the Service and close your account at any time.

10. Disclaimers

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data. Our aggregate liability for claims arising out of or related to the Service will not exceed the amount paid by you to us for the Service in the 12 months before the event giving rise to liability.

Nothing in these Terms limits liability where such limitation is prohibited by law, including applicable consumer protection laws.

12. Indemnity

You agree to indemnify and hold harmless us and our affiliates from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Service, Customer Data, or violation of these Terms, except to the extent caused by our gross negligence or willful misconduct.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict-of-law rules. Courts of England and Wales have exclusive jurisdiction, except where mandatory local law gives consumers rights to bring claims in their home jurisdiction.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Service or by email. Continued use after the effective date of updated Terms constitutes acceptance.
